Submitting Offers and Discounts
Welcome to Membership Advantage Benefits Inc. (“MA”). These Terms and Conditions ("Terms") govern the submission of offers, discounts, or specials ("Offers”) by Business Partners through our technology to Organization Members. By accepting the Terms and Conditions and submitting an Offer, you agree to comply with these Terms and Conditions.
1. Acceptance of Terms
By submitting an Offer, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not submit an Offer.
2. Eligibility
To submit an Offer, you must be an approved Business Partner, the approval to be granted by MA as outlined below By submitting an Offer, you represent and warrant that you meet these eligibility requirements.
3. Becoming a Business Partner
- Completion of AP Profile and Application found in the Dashboard.
- Review and response by MA provided within 48 hours
- Approval at the sole discretion of MA
4. As a Business Partner, you agree:
- To honour all redemptions that fall within the timelines that were set
- To monitor your Offer and Promotion and maintain, upgrade or delete to keep the Offer relevant
- Notify MA of any issues regarding posting Offers or redemption issues
5. Offer Submission
- Content Guidelines: Offers must be truthful, not misleading, and comply with all applicable laws and regulations. Business Partners are responsible for the accuracy and legality of the content submitted.
- Offer: must include a unique discount or added value to our members.
- Submission: must be submitted utilizing the AP Dashboard.
- Approval Process: All Offers are subject to review and approval by MA. We reserve the right to reject or remove any Offer at our discretion. Review and response provided withing 48 hours.
6. Offer Duration
Offers will remain on the Organization sites for a specified duration as requested by the AP in their Dashboard. MA reserves the right to shorten the duration at its discretion.
7. Right of Removal
Membership Advantage reserves the right to remove any AP or Offer from the system without notice, penalty or liability.
8. Intellectual Property
By submitting an Offer you grant MA a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, publish, and distribute the content of the Advertisement for the purposes of marketing and promotion.
9. Indemnification
AP’s agree to indemnify and hold harmless MA its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorney's fees) arising from the AP’s breach of these Terms or violation of any law.
10. Limitation of Liability
MA shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to these Terms or the Advertisements, even if advised of the possibility of such damages.
11. Modifications
MA reserves the right to modify these Terms at any time. Changes will be effective upon posting on the website. Continued use of the service after any changes constitutes acceptance of the new Terms.
12. Price Changes
MA reserve the right to modify pricing for any of our products or services at any time, without prior notice. While we strive to provide accurate and up-to-date information, prices may increase due to changes in market conditions or other factors. Any changes will take effect immediately upon being posted on our website unless otherwise stated. Continued use of our services after price changes constitutes your acceptance of the new pricing.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of British Columbia, Canada without regard to its conflict of law principles.
